MinglMe Terms of Service

MinglMe is a digital platform that connects people to activities with the aim of creating genuine and meaningful encounters.

These terms of service ("Terms") apply between you and us and govern your use of the Service. The Service refers to digital and physical services provided by Mingel Me AB company registration number: 559510-0610 ("we", "us") via our website www.minglme.com ("Website"), the digital web application MinglMe ("App"), ticket sales for activities ("Activities") arranged by third-party providers ("Hosts"). By "you," we mean anyone with a user account ("User"), paying users ("Member"), those who have purchased tickets to participate in an Activity, and anyone participating in an Activity ("Participant").

These Terms constitute a legally binding agreement, and you as a user must read and understand them before using the Service. By creating a user account or using the Service, you accept these terms.

1. General

The Service facilitates ticket sales to activities organized by Hosts and enables interaction with other users through our digital services.

2. Acceptance of Terms

To use the Service, you must create a user account and accept these terms. By creating an account, you also accept our privacy policy, which governs how we handle your personal information. These terms of service and MinglMe's privacy policy are collectively referred to as the "Terms."

3. Use and Responsibility

3.1. Age Restriction

You must be at least 18 years old to use the Service. People under 18 may not create user accounts or use the Service. MinglMe cannot technically verify the identity of those who register for the Service and takes no responsibility for minors' use that is not discovered in time. Providing false information may lead to immediate suspension. Users must be able to verify their age with valid ID when requested.

3.1. User Account and Membership

Downloading the app and creating a user account is free. To interact with other members and invite others to register for an Activity, you must first subscribe and become a Member.

If you're invited by a Member to register for a specific Activity and aren't already a User, you need to create a user account. You must register for the Activity and pay via the payment methods specified during registration. Invitations cannot be transferred or shared with others and can only be used once (1) per calendar half-year per User. By registering for an Activity, you accept these terms.

3.2. Personal Use

A user account may only be used by the registered user and may not be shared with third parties. All content displayed through the Service is for your personal, non-commercial use only and may not be transferred or shared with others.

Using the Service or its content for anything other than personal, non-commercial purposes is prohibited. All use must comply with applicable law and not infringe on, exploit, or abuse anyone else's rights. The Service should not be used in ways that could be perceived as immoral, offensive, or provocative. It is forbidden to film or otherwise document the use of the Service or distribute such material.

You are personally responsible for all activity on your user account and shall hold MinglMe harmless against all claims regarding this. Keep your login details secure and notify us immediately if you suspect unauthorized use of your account.

3.2. Accurate Information

You are responsible for ensuring that the information provided during registration is correct, including your email address. You are responsible for updating such information if it changes. All information you provide is handled in accordance with our privacy policy.

3.3. Use of Content

You agree to use the Service, including all features and functionality associated with it, in accordance with all applicable laws, rules, regulations, or other restrictions. We also have the right to seek compensation from you for damage caused by use of the Service in violation of these terms, including any liability we may have toward third parties.

We may terminate or restrict your use of the Service without compensation or notification if we have reasonable cause to believe that you (i) are acting in violation of any of these terms or (ii) are involved in illegal or improper use of the Service.

We may deny registration of a new user account if you have previously been suspended from the Service or if your previous agreement was terminated because you violated these terms.

4. Rights

All rights, including but not limited to intellectual property rights such as copyright, trademark, and other similar rights to the Service, including but not limited to its technical solutions, design, source code, trademark, and content, belong to us or our licensors. You do not have the right to copy, modify, or share information or material covered by our or our licensors' rights unless explicitly stated in the Service. MinglMe is a registered trademark belonging to Mingel Me AB.

All content and information that you register in the Service belongs to you, and we make no claim to any of your rights to such content or information. However, we may process this type of content or information in accordance with our privacy policy.

5. Our Responsibility

The Service is normally available twenty-four hours a day, every day, year-round. However, we cannot guarantee uninterrupted access to the Service. Availability may be affected by external factors such as network connectivity, or when we perform system maintenance, bug fixes, updates, or similar actions.

We continuously develop the Service and therefore reserve the right to make changes from time to time in the Service offering. We may change, develop, or discontinue all or parts of the Service without first obtaining your approval. New versions may contain updates, new functions, and new design. Similarly, new versions may mean that functions or design previously found in the Service disappear. Furthermore, you accept that you cannot demand any liability or make any claims against us because the Service changes as described above.

We do not guarantee that the Service will function flawlessly, and it is up to us to determine whether we should fix errors at our own expense and when we should do so. You therefore have no right to compensation from us due to errors or deficiencies in the Service, whether they concern availability issues caused by viruses or other external attacks, deficiencies in the hardware, network connection, or software you use, or any similar circumstance beyond our control, or any other circumstance.

The Service may contain links to websites or applications provided by third parties. We take no responsibility for such websites or applications or their content.

For Activities, each Host is responsible for which Activities are made available to users via the Service. Events may vary over time, and content can change without notice. MinglMe cannot guarantee access to a specific Host or Activity or be responsible for the quality of an Activity.

6. Payment Terms

6.1. Subscription

Until you have accepted the Service's payment terms, as a User, you only have access to a limited part of the Service content. To gain full access to all content in the Service, you need to become a Member by subscribing monthly. Payment and subscription management are provided by Stripe. We are not responsible for technical problems related to the payment solution.

For new Members, we offer a free 14-day trial period. There may be restrictions when combined with other offers. Free trial periods are only for new Members and certain previous Members. We reserve the right to determine your eligibility for a free trial period at our discretion. We will begin charging your payment method for monthly subscription fees immediately after your trial period expires if you haven't canceled your subscription before then. You will not receive any notification from us that your free trial period has ended or that the payment portion of your membership has begun.

We will continue to charge your payment method each month on the calendar day corresponding to the first day of your paying subscription for your subscription fee until you cancel your subscription or we terminate it. You must provide us with a current and valid payment method to use the Service. We reserve the right to change the time of our billing. The right to use the subscription is personal and limited to the user account that made the payment. Once the subscription fee for the Service has been charged, no refund will be made.

You can change or renew your payment method and view information about your current subscription by visiting "My Profile" in the app. If a payment cannot be processed because the payment method has expired, funds are lacking, or for another reason, and you do not correct this or cancel the subscription (see "Canceling a subscription"), you remain responsible for payment of fees. If a payment fails, an invoice may be sent to you, and if payment is not made, the matter may be sent to a collection agency. You can never terminate the agreement by failing to pay. In case of non-payment despite reminder and collection demand, we reserve the right to terminate your subscription with immediate effect.

6.2. Canceling a Subscription

You can cancel your subscription at any time. You will continue to have access to the Service until the end of your monthly billing period. Cancel your subscription by visiting "My Profile" in the app or contact us via email at crew@minglme.se. You will receive confirmation via email that your subscription has been canceled. After cancellation, you have full access to the service until the end of your current billing period.

6.3. Price Changes

We reserve the right to adjust the price of the Service in any way, at any time, and at our sole discretion. Any price changes will be shown on "My Profile" and will take effect no earlier than 30 days after information has been provided on "My Profile" or has been sent to you via email.

6.4. Right of Withdrawal, Contract Period, and Termination

By law, as a Member, you have a right of withdrawal for 14 days when purchasing goods and services remotely. The right of withdrawal applies from the day you accepted the Service's payment terms. If you wish to withdraw from the purchase, you should contact us via email at crew@minglme.se within the specified time.

The agreement between us and you regarding your use of the Service as a User (without monthly subscription) is valid from the registration of your user account and continues indefinitely. You have the right to terminate the agreement at any time. If you want to delete your user account and your information, you can either do so from "My Profile" in the app or by contacting us at crew@minglme.se.

The agreement between us and you regarding your use of the Service as a Member (with subscription) is valid from the time you accept the Service's payment terms by subscribing until the subscription ends. To end a subscription, you need to actively cancel it. See more about how to do this under 6. Payment Terms, Canceling a Subscription.

6.4. Purchasing Tickets to Activities

Payment is made via the payment methods specified when registering for an Activity. All prices include VAT unless otherwise stated.

7. Activities

7.1. Minimum and Maximum Number of Participants

For an Activity to be held, a minimum number of Participants may be required. If the minimum number of Participants for a particular Activity is not reached, the Host reserves the right to cancel the Activity, and MinglMe shall refund what the Participant has paid.

If the maximum number of participants is reached, a Member can register on a waiting list and receive notification of the opportunity to register as a Participant when a spot becomes available. A User cannot register on a waiting list.

7.2. Right of Withdrawal and Refund for Purchased Tickets

According to the Distance and Off-Premises Contracts Act (2005:59), there is no right of withdrawal for tickets to cultural and leisure activities that are tied to a specific date or time period. Therefore, all payments are fundamentally binding and non-refundable unless the Host expressly offers such an option. Since MinglMe acts as an intermediary for tickets to Activities, we follow the same legal guidelines. Any other terms for right of withdrawal and refund are established by the respective Host and are not MinglMe's responsibility. In the absence of stated terms for right of withdrawal, the purchase is binding, and no refund will be made.

If a Host offers a right of withdrawal and right to refund for purchased tickets and the conditions for this are met, the refund will be made via the same payment method used for the purchase. Contact us at crew@minglme.se if you want us to assess your possible right to a refund. A refund, if applicable, adjusted for transaction fees, will be processed within thirty (30) days of the Participant's request.

MinglMe does not compensate a Participant who cannot participate in an Activity due to illness, medical reasons, or any other causes.

7.3. Changes to an Activity

If MinglMe or the Host, before an Activity begins, is forced to change the time, date, location, or other essential aspect of the Activity, the Participant will be informed via email as soon as possible. The Participant has the right to:

  • Participate in the Activity on the new date and location, or
  • Decline to participate in the Activity and request a refund of the amount paid, if applicable.

A refund, if applicable, will be processed without extra fees within thirty (30) days of the Participant's request.

MinglMe shall not be held responsible for changes to an Activity due to force majeure. Force majeure refers to circumstances beyond our reasonable control, such as natural disasters, war, strikes, pandemics, or other unforeseen events that prevent the provision of the Service.

7.4 Cancellation of an Activity

If MinglMe or the Host is forced to cancel an Activity, the Participant will be informed about this via email as soon as possible. In case of cancellation, the Participant is entitled to a refund of the full amount paid, if applicable.

A refund, if applicable, will be processed without extra fees within thirty (30) days from when information about the cancellation was provided.

MinglMe shall not be held responsible for changes to an Activity due to force majeure. Force majeure refers to circumstances beyond our reasonable control, such as natural disasters, war, strikes, pandemics, or other unforeseen events that prevent the provision of the Service.

7.5 Terms of Access

When a Member or User has registered for an Activity, they have a personal right to participate, provided that:

  • All registration requirements have been met.
  • Payment for the Activity has been made, if applicable.

Access may be denied in the following cases:

  • The person has not registered for the Activity.
  • The payment terms have not been fulfilled before the Activity begins or before a specified deadline.
  • The person exhibits inappropriate behavior that violates the Host's rules, public order, decency, health and safety requirements, or that may pose a risk to other Participants.

Accessibility for Persons with Disabilities

We strive to make the Service accessible to everyone, but we cannot guarantee that all Activities or Activity venues are adapted for persons with disabilities. Some places where Activities are held may be inaccessible to persons with disabilities or reduced mobility. MinglMe is not responsible for providing specific assistance. If a Participant needs an attendant, it is the Participant's responsibility to arrange this. The attendant must also register as a Participant for the Activity.

7.6. Health Requirements and Responsibility When Participating in Sports Activities

Before a Participant registers for a sports activity, it is the Participant's responsibility to:

  • Ensure that they are in sufficiently good health to participate.
  • Take necessary measures to ensure that participation does not pose a risk to their own or others' safety.

If an incident or accident occurs due to lack of attention or participation in an Activity that is not suitable for the Participant's health condition, MinglMe is not responsible for this.

In some cases, MinglMe or the Host may require the Participant to sign a disclaimer to certify that the Participant's health condition is suitable for participation.

MinglMe does not compensate a Participant who cannot participate in an Activity due to illness, medical reasons, or any other causes.

7.7. Code of Conduct

We strive to make each Activity a positive and safe experience for everyone. Therefore, Participants commit to following our code of conduct:

  • Be friendly and contribute to a good atmosphere – treat others with respect, kindness, and show consideration for other people.
  • Follow instructions and directions from the Host and inform the Host if you witness anything inappropriate.
  • Think about your own and others' safety – be attentive and act responsibly, respect your own and others' boundaries when consuming alcohol.

This code helps create a safe and respectful environment for all Participants and ensures that the division of responsibility is clear.

7.8. Responsibility and Safety

When you participate in Activities facilitated by MinglMe, you commit to:

  • Following the Host's instructions, safety recommendations, and rules.
  • Respecting the Code of Conduct and these Terms.

If you violate these guidelines or act in a way that harms MinglMe's operations, the Host's operations, or other Participants, MinglMe reserves the right to:

  • Temporarily suspend or terminate your user account and/or membership.

MinglMe cannot be held responsible for damages that occur during an Activity as a result of:

  • Actions, omissions, or behavior of other Participants, third parties, or members of the public.
  • Violations of the Code of Conduct or safety recommendations by any Participant.
  • Inattention or negligence of any Participant.
  • Force majeure

7.9. Exclusion of a Participant from an Activity

Participants who violate the Code of Conduct (chapter 7) or other relevant rules for an Activity may be subject to:

  • Warning: For minor violations.
  • Exclusion from the Activity: For serious violations or circumstances where it is necessary to protect the Participants' safety and well-being.

MinglMe, or the Host, has the unilateral right to decide on exclusion, especially in cases of:

  • Intoxicated behavior.
  • Risk to one's own or a third party's mental or physical health.
  • Harassment or other inappropriate behavior.

Consequences of Exclusion

A Participant who is excluded from an Activity is not entitled to compensation. Exclusion from an Activity may also result in the Participant losing the right to register for future Activities. In cases of serious violations that disturb public safety or order, MinglMe and the Host reserve the right to report the incident to relevant authorities.

7.10. Travel as an Activity

These terms of service do not apply to travel services advertised in the Service. These services will be subject to an agreement concluded directly between the Member or User and the travel organizer. Please refer directly to the relevant Host's general terms and conditions.

8. Communication

All communication between you and us regarding the Service will take place via the Service, or in some cases via the website or email. We therefore recommend that you stay updated by regularly logging into the Service, visiting our website, and reading emails from us.

9. Limitation of Liability

MinglMe is not responsible for direct or indirect damage arising from your use of the Service.

MinglMe is an intermediary of tickets and not an organizer of Activities. Therefore, we are not responsible for the quality or implementation of Activities. Any complaints or questions regarding an Activity should be directed to the Host.

In the event of a conflict between these Terms of Service and information from customer service or elsewhere on our website, these Terms of Service apply. If you have questions about these Terms, please contact us at crew@minglme.se.

10. Support

We welcome both feedback and support questions via email at crew@minglme.se or through any of our other support and contact channels that we inform about.

11. Changes

We reserve the right to make changes to these terms without first obtaining any approval and without notifying you. We always inform you when we make significant changes to the terms. New terms always take effect immediately when they are published on the Website, and the latest version is always available there and in the Service. If you continue to use the Service after we have published a new version of the terms, you are also considered to have accepted the new terms. We therefore recommend that you make a habit of reading the terms from time to time to keep yourself informed of any changes.

12. Applicable Law and Dispute Resolution

These Terms of Service shall be governed by and interpreted in accordance with Swedish law. These terms do not limit the consumer protection rights that you may have under applicable and mandatory local legislation. Any disputes shall be settled by general courts in Sweden.
